McDonald's Turkey Sold to Qatari Boheme Investment Company

Anadolu Group Holding sold its McDonald's Turkey to Qatari Boheme Investment company for 54.5 million dollars. In the statement made to KAP by Anadolu Holding A.Ş., “For the sale of shares representing 100% of the capital of Anadolu Restaurant, which is a 100% subsidiary of our company and which operates the franchise operation of McDonald's restaurants in Turkey, to Boheme Investment GmbH or any of its affiliates in Turkey. A binding share transfer agreement was signed between our company and Boheme Investment GmbH on 11 May 2022.

Sale price $54.5 million

In the statement made, it was stated that the completion of the share transfer is subject to the fulfillment of the prerequisites in the share transfer agreement and the transfer is expected to be concluded within the first half of 2022, and the following information was given regarding the price: “According to the agreement reached by the parties, the transfer price of the shares representing 100% of the capital of Anadolu Restaurant, It will be determined as 54.500.000 USD, minus the net debt amount in Anadolu Restaurant's balance sheet at the closing date and the netting of the other assets and liabilities defined in the share transfer agreement. It is anticipated that the amount to be calculated by deducting the mentioned net debt amount and other assets and liabilities defined in the share transfer agreement will be approximately 5-6 million USD.”

Boheme Investment GmbH is a company based in Vienna/Austria and is a subsidiary of Kamal Saleh Al Mana, a Qatari investor. Kamal Saleh Al Mana has a partnership in the company that runs the franchise of McDonald's restaurants in Qatar.
